أصدر وزير الاقتصاد والصناعة السوري نضال الشعار تعميماً يقضي بتوحيد آلية العمل لدى جميع دوائر الشركات وأمانات السجل التجاري في المحافظات السورية؛ بهدف تبسيط إجراءات التأسيس والإشهار.

وحسب التعميم، يطلب من دوائر الشركات وأمانات السجل التجاري تسجيل الشركة وإصدار قرارات تأسيسها وإشهارها ومنحها السجل التجاري للمرة الأولى فور تقديم الأوراق الأساسية وعدم تعليق السجل التجاري على المعاملات المالية.

موافقات وتراخيص

وأكد التعميم عدم تعليق منح السجل التجاري على الموافقات والتراخيص اللازمة لممارسة النشاط التجاري، باستثناء الأنشطة المتعلقة بكل من وزارات الداخلية والدفاع والطاقة، إضافة إلى الأنشطة التي تخضع لرقابة وإشراف جهات رقابية ووصائية ذات صلة، وتشمل المصارف، والصرافة، والحوالات المالية، والتأمين، ووساطة التأمين، والنفقات الطبية، والتطوير العقاري، والتقييم العقاري، والتمويل العقاري، والحماية والحراسة، وفقاً لوكالة الأنباء السورية (سانا).

مهلة تجديد

ونص التعميم على منح أصحاب العلاقة مهلة لحين تجديد السجل التجاري لاستكمال كل الإجراءات في وزارة المالية والجهات التابعة لها أو أي جهة حكومية أخرى، على أن يقع عبء متابعة هذه الإجراءات على عاتق الوزارة المعنية.

وأطلقت الإدارة العامة للتجارة الداخلية وحماية المستهلك في وزارة الاقتصاد والصناعة، خلال الشهر الجاري، خدمة تأسيس الشركات بمختلف أنواعها عبر البوابة الإلكترونية للإدارة، وذلك في إطار تنفيذ برنامج التحول الرقمي وأتمتة العمل الحكومي.

The Syrian Minister of Economy and Trade, Nidal Al-Shaar, issued a circular to unify the working mechanism among all company departments and commercial registry offices in the Syrian provinces; aimed at simplifying the establishment and announcement procedures.

According to the circular, company departments and commercial registry offices are required to register the company, issue its establishment and announcement decisions, and grant it a commercial registry for the first time immediately upon submission of the essential documents, without suspending the commercial registry based on financial transactions.

Approvals and Licenses

The circular emphasized that the issuance of the commercial registry should not be suspended based on the necessary approvals and licenses required to conduct commercial activities, except for activities related to the Ministries of Interior, Defense, and Energy, in addition to activities that are subject to oversight and supervision by relevant regulatory and supervisory bodies, including banks, currency exchange, money transfers, insurance, insurance brokerage, medical expenses, real estate development, real estate appraisal, real estate financing, and security and guarding, according to the Syrian News Agency (SANA).

Renewal Grace Period

The circular stipulated granting stakeholders a grace period until the commercial registry is renewed to complete all procedures at the Ministry of Finance and its affiliated entities or any other government body, with the responsibility of following up on these procedures resting on the concerned ministry.

The General Administration for Internal Trade and Consumer Protection at the Ministry of Economy and Trade launched, during this month, a service for establishing companies of various types through the administration's electronic portal, as part of the implementation of the digital transformation program and the automation of government work.
